Service Agreement

This Service Agreement describes what Revenue Point provides, what we promise, and what we ask of you as a customer. It is written in plain English because we believe you should understand exactly what you are signing up for.

Revenue Point is operated by Velocity Point, LLC ("Revenue Point," "we," "us," or "our"). By subscribing to Revenue Point, you ("Customer," "you," or "your") agree to the terms outlined here, along with our Terms of Service and Privacy Policy.

1. What Revenue Point Provides

Revenue Point is a performance-based database reactivation service for businesses with existing lead databases. Your engagement includes:

  • AI-powered lead reactivation — We run AI-driven outreach against the lead database you provide, re-engaging contacts who never converted on first contact.
  • Multi-channel messaging — Reactivation is delivered via SMS and/or email, using compliant, opt-out-aware messaging flows.
  • Qualification and booking — Interested leads are qualified by AI and booked directly into your sales calendar or handed off per your preferred workflow.
  • Attribution and reporting — We track which leads responded, which booked, and which converted, so pricing is tied to measurable outcomes.
  • Custom AI training — During onboarding, we configure the AI with your business details, offer, tone, and qualification criteria.

2. Service Level

  • Availability: We target 99.9% uptime for the reactivation platform. Scheduled maintenance windows, if needed, will be communicated in advance.
  • Campaign cadence: Standard reactivation campaign cadence (initial outreach timing, follow-up pacing, and total campaign duration) is defined in your signed Order Form.
  • Notification delivery: Booked-meeting and hot-lead notifications are sent to you within minutes of the qualifying event.

If we experience an outage that materially affects your service, we will communicate promptly and work to restore service as quickly as possible.

3. Pricing

Revenue Point charges only on attributed conversions. Specific fee rates and attribution windows are finalized in your signed Order Form and matched to your list size, industry, and average deal value. Fees are only invoiced for converted leads traceable to our reactivation activity. Contact us at support@revenue-point.com for a rate quote.

  • Performance-based. You only pay when we make you money.
  • Minimums and setup fees. Any minimum retainer, setup fee, or platform fee (if applicable to your engagement) is specified in your Order Form.
  • No hidden fees. The terms above are the terms you pay.

Attribution mechanics — including what constitutes a Revenue Point-originated touch, what counts as a converted lead, the attribution window, how attribution disputes are resolved, and invoicing cadence and payment terms — are documented in your Order Form and available for review before you sign.

If we ever need to change pricing, we will give you at least 30 days' written notice. Price changes never apply retroactively.

4. Our Guarantee (and What We Don't Guarantee)

Because Revenue Point is performance-based, the core guarantee is built into the model: if we do not produce attributed conversions for you under your Order Form, you do not pay us for those conversions. There is no minimum monthly fee unless your Order Form explicitly sets one.

We do not guarantee a specific reactivation rate, reply rate, booked-call rate, or revenue outcome. Results depend on list quality, list age, the consent record on your contacts, your offer, your industry, your sales team's close rate, and external factors (carrier filtering, regulatory changes) that are outside our control. Anyone who promises you a guaranteed dollar number on a database they have not seen is lying to you.

Minimum campaign duration before evaluating results, and any satisfaction terms beyond the inherent performance structure, are documented in your Order Form.

5. Fair Use and List Quality

Uploaded lead lists must meet Revenue Point's list-quality requirements — including minimum list size, required data fields (name, phone or email, consent status), restrictions on list sources (leads must be first-party contacts who previously opted in to communication from you), and acceptable lead age. Specific thresholds are reviewed during onboarding; if a list fails quality review, we will work with you to remediate before campaign launch.

You are responsible for ensuring the leads you upload were collected in compliance with applicable law (TCPA, CAN-SPAM, CASL, GDPR, and any state-level equivalents) and that the original opt-in covers the type of outreach Revenue Point will perform on your behalf.

6. Your Responsibilities

To get the most out of Revenue Point, we ask that you:

  • Provide accurate business information — Offer, pricing, qualification criteria, and any details the AI needs to represent your business correctly.
  • Provide a compliant lead database — Leads must have been collected with appropriate consent for the channels (SMS, email) we will use to re-engage them.
  • Respond to hot-lead notifications — When we book a meeting or flag a hot lead, follow up promptly. Revenue Point reactivates and qualifies; closing is up to you.
  • Keep your contact and calendar information current — Let us know if your booking link, availability, or notification preferences change.
  • Notify us of business changes — If your offer, pricing, or qualification criteria change, tell us so we can update the AI's knowledge base.

7. Data and Privacy

We take your data and your leads' data seriously:

  • Processor relationship. When you upload a lead list, Revenue Point acts as a data processor on your behalf. See our Privacy Policy for details.
  • Message transcripts and outcomes are retained in accordance with our data retention policy and are available to you upon request.
  • Lead information (names, phone numbers, email addresses, responses) is stored securely and used only to provide the service.
  • We do not sell your data. Not yours, and not your leads'. Period.
  • You own your data. If you cancel, we will provide your campaign history and lead interaction data upon request.

8. Confidentiality

Each party agrees to protect the other's confidential information with the same care it uses to protect its own confidential information, and to use confidential information only to perform this agreement. Confidential information includes lead lists, pricing, campaign results, and any non-public business information shared between the parties.

9. Changes to This Agreement

We may update this Service Agreement from time to time. For material changes — anything that affects pricing, service level, or your rights — we will give you at least 30 days' written notice by email before the changes take effect.

Minor clarifications or formatting updates may be made without notice. The "Last updated" date at the top of this page always reflects the most recent version.

10. Cancellation and Termination

You can cancel Revenue Point at any time by emailing support@revenue-point.com. There is no cancellation fee.

  • In-flight campaign handling on cancellation — including whether active outreach sequences continue to completion and how fees are handled for conversions landing inside the attribution window after cancellation — is documented in your Order Form.
  • We will provide your campaign data upon request.

We reserve the right to suspend or terminate service if the service is used for illegal purposes, to message non-consented contacts, or in a manner that violates our Terms of Service.

11. SMS and TCPA Compliance — Customer Warranties

Because Revenue Point sends SMS on your behalf, the legal validity of those sends depends on the consent records you maintain. By engaging Revenue Point, you warrant that:

  • Every contact you upload provided prior express written consent (PEWC) for telephone solicitation and SMS marketing meeting the TCPA standard (47 C.F.R. § 64.1200(f)(9)) and any applicable state-law equivalents (including FL FTSA, WA CEMA, OK OTSA, MD MTCPA, TX Bus. & Com. Code Ch. 302/305, and any successor statutes);
  • The consent disclosure presented to each contact identified you (the customer) by name or by a category of sellers reasonably including you;
  • You can produce, within five (5) business days of our request, the timestamp, IP address, opt-in source URL, and exact consent language shown to any contact;
  • No contact on the list has revoked consent, registered a complaint, or been the subject of a TCPA litigation hold of which you are aware.

You agree to indemnify and hold Revenue Point harmless from any TCPA, CAN-SPAM, state- mini-TCPA, or carrier-action claim arising from a breach of these warranties. The full indemnification language lives in your Order Form / Partnership Agreement; this section summarizes the posture you are committing to when you upload a list to our platform.

12. Indemnification (Mutual)

Each party will indemnify, defend, and hold the other harmless from third-party claims arising from its own gross negligence, willful misconduct, or breach of this Agreement. Customer additionally indemnifies Revenue Point for the warranty matters in Section 11 and for any claim arising from Customer's underlying product, service, sale, or fulfillment to a lead booked through our services. The indemnified party will give prompt notice of any claim and allow the indemnifying party reasonable control of the defense.

13. Governing Law and Venue

This Service Agreement is governed by the laws of the State of Washington, without regard to its conflict-of-laws principles. Exclusive venue for any dispute lies in the state or federal courts located in Clark County, Washington, and the parties consent to personal jurisdiction in those courts. (For customers whose Order Form expressly elects Oregon, that Order Form's Multnomah County, Oregon venue controls instead.) Before filing any lawsuit, the parties will negotiate in good faith for thirty (30) days, then attempt mediation for an additional thirty (30) days, except for claims for injunctive relief to protect intellectual property or confidential information.
